CW - Company Equipment Agreement

I,

 on this date,

am in possession of the Equipment listed in Exhibit “A” (the “Property”), which I acknowledge is the property of ConectUS Wireless (the “Company”), to be used only for assigned work-related purposes. In addition, I agree to the following provisions:

 

PLACEMENT OF PROPERTY

The Property shall be maintained only at the designated work location and shall not be moved from the work location without the consent of the Company. The Property shall be delivered back to the Company upon demand and without delay following such demand at the expense of the Company. If at any time the Company delivers additional Property to Me, such additional Property shall be subject to the terms and conditions of this Agreement unless specifically agreed by the parties in writing.

 

ACCESS TO EQUIPMENT

I shall provide the Company or its agents with access, via remote control or to its physical premises, at any time during normal business hours or after normal business hours, in the event of a bona fide emergency, for the purpose of inspecting, maintaining, or otherwise accessing the Property.

 

LIMITATIONS ON USE
I shall use the Property only for assigned work-related purposes and for NO OTHER purpose. I will also refrain from installing ANY software of any sort without the Company's express permission or request. Access to the Property shall be limited to me alone.

 

NO LIENS OR ENCUMBRANCES

I shall not create nor permit any lien, security interest, or other encumbrance of any nature or kind, whether voluntary or involuntary, to attach to the Property. In the event that any such encumbrance attaches to the Property, I shall immediately and without delay cause such encumbrance to be discharged.

 

TERM AND TERMINATION

The operation of this Agreement shall continue for so long as any Property of the Company has not been returned to the Company.

 

CARE AND MAINTENANCE

I shall be responsible for the care and maintenance of the Property while in My possession and shall take all steps necessary to assure that the Property remains in good working order, in the same condition as when delivered to Me. I shall take all necessary actions to assure that the Property is not misused, damaged, or subject to risk of harm.

Should the Property, in any case, be damaged, lost, stolen, or destroyed, by any means, while in My possession, I shall be responsible for the cost of any repair, up to the entire replacement cost. I am responsible for obtaining insurance, at My expense, on the Property in My possession, should I wish to obtain such coverage to cover My personal liability.

In the event of Property failure due to wear and tear or other system-related problems, including disclosure of confidential information (a “hack”), I shall have it inspected by the Company’s Technical Support Department as soon as possible, remotely or in person as deemed necessary.

 

ALTERATIONS, ADDITIONS

I shall not alter the Property in any manner without the Company’s prior written approval.

 

TERMINATION OF EMPLOYMENT

Upon the termination of my employment with the Company, I shall surrender and return the Property to the Company. However, I understand that I have the option to purchase the equipment from the Company upon due notice. Additionally, I understand that, in the absence of said notice, the Company may withhold my final pay until the property is either purchased by Me or returned to the Company in good working order.

 

WARRANTY DISCLAIMER

I agree that I shall indemnify and hold the Company harmless from and against all damages, claims, liabilities, actions, suits, threats, demands and settlements arising directly or indirectly from the use and operation of the Property, including but not limited to incidental and consequential damages, injury-related damages, special and punitive damages.

 

ASSIGNMENT

Neither this Agreement nor any right, interest, duty or obligation hereunder may be assigned, transferred or delegated by Me without the express written consent of the Company.

 

As evidenced by My signature below, I acknowledge that I have received the Property, as described in Exhibit “A”, in good working order and that I agree to the terms and conditions herein
